Terms of Service

"Account" means the account you create to access the Service.

"Content" means any text, images, videos, data, or other material you submit, upload, or create through the Service.

"Subscription" means a recurring paid plan that grants access to premium features as described on our Pricing page.

"Credits" means prepaid units consumed when generating AI-powered posts, images, or videos.

You must be at least 18 years old and capable of entering into a binding contract to use the Service. By accepting these Terms you represent that you meet these requirements. If you are acting on behalf of a business, you represent that you have authority to bind that business.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. Notify us immediately at legal@archysocial.com if you suspect unauthorised access. We will not be liable for losses arising from your failure to safeguard your credentials.

Subscriptions are billed in advance on a monthly or annual basis. Payment is processed by Paddle.com Market Limited ("Paddle"), our authorised Merchant of Record. By subscribing you agree to Paddle's Terms of Use.

Subscriptions automatically renew unless cancelled before the renewal date. You can cancel at any time from your Billing page. Cancellation takes effect at the end of the current billing period; you retain access until then.

We reserve the right to change prices with at least 30 days' notice. Price changes take effect on your next renewal date. Continued use after the effective date constitutes acceptance of the new prices.

Credits purchased as top-ups are non-subscription purchases consumed on a pay-as-you-go basis. Credits do not expire but are non-transferable and have no cash value. Unused Credits are forfeited upon account termination.

If you are a consumer resident in the European Union or European Economic Area, you have the right to withdraw from a Subscription contract within 14 calendar days of the purchase date without giving any reason ("cooling-off period"), in accordance with the EU Consumer Rights Directive 2011/83/EU.

However, by subscribing and immediately accessing the Service, you expressly acknowledge and consent that the Service begins on the date of purchase and that you lose your right of withdrawal once the digital content has been made available to you and performance of the contract has begun. This is permitted under Article 16(m) of the Consumer Rights Directive.

You agree not to use the Service to:

• violate any applicable law or regulation;
• infringe the intellectual property rights of others;
• publish, distribute, or generate misinformation, hate speech, or content that harasses, threatens, or demeans any individual or group;
• spam, phish, or distribute malware via social networks;
• attempt to gain unauthorised access to systems or data;
• use automated means to access the Service in a manner that exceeds normal use or impairs its operation;
• resell, sublicense, or provide access to the Service to third parties without our written consent.

We reserve the right to suspend or terminate Accounts that violate this policy without prior notice and without refund.

The Service, including its software, design, trademarks, and original content, is owned by or licensed to us. Nothing in these Terms transfers ownership of our IP to you.

You retain all intellectual property rights in your Content. By using the Service you grant us a limited, non-exclusive, worldwide, royalty-free licence to process, store, and transmit your Content solely to the extent necessary to provide the Service. We do not claim ownership of your Content and will not use it for training AI models without your explicit consent.

The Service integrates with third-party platforms including LinkedIn, X (Twitter), and AI providers. Your use of those platforms is governed by their respective terms of service. We are not responsible for the actions, content, or availability of third-party services.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose, non-infringement, or uninterrupted availability. AI-generated content may contain errors and should be reviewed before publication.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law.

To the maximum extent permitted by applicable law, our total aggregate liability to you for any claims arising from or related to the Service will not exceed the greater of (a) the fees paid by you in the 12 months preceding the claim or (b) €100.

We will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility of such damages.

Either party may terminate these Terms at any time. You may close your Account from your Account settings page. We may suspend or terminate your Account for violation of these Terms, non-payment, or at our discretion upon reasonable notice.

Upon termination, your access to the Service will cease. We will retain your data for 30 days, after which it may be permanently deleted. Sections on IP, liability, and governing law survive termination.

We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice within the Service at least 30 days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the Republic of Croatia, without regard to its conflict of law provisions. Any dispute shall first be attempted to be resolved amicably. If unresolved, disputes shall be subject to the exclusive jurisdiction of the competent courts of Zagreb, Croatia.
